Eligibility: Open to legal residents of the 50 United States and the District of Columbia (except residents of Florida and New York), who are eighteen (18) years of age or older as of 6/1/07 (except for residents of Alabama and Nebraska who must be (19) years of age or older as of 6/1/07). Employees, officers, directors, agents and representatives and their immediate families (mother, father, sister, brother, any child, husband, wife, regardless of where they reside), and those living in the same household of such employees, whether or not related, of Taco Bell Corp. ("Sponsor"), the "MLB Entities" (as defined below), Yum! Brands, Inc., their respective parents, affiliates, subsidiaries, retailers, franchisees, distributors, advertising, public relations and promotion agencies, Millsport, LLC, Underwriter's representative, Project Support Team, Inc. ("P/S/T"), and anyone connected with the production and distribution of this sweepstakes promotion (the "Sweepstakes") (hereafter, collectively "Released Parties") are not eligible to enter or win. The "MLB Entities" are defined as Major League Baseball Properties, Inc., Major League Baseball Enterprises, Inc., MLB Advanced Media, L.P., Tickets.com, Inc., SportsOnEarth, LLC, MLB Advanced Media, Inc., MLB Media Holdings, Inc., MLB Media Holdings, L.P., MLB Online Services, Inc., the Office of the Commissioner of Baseball and the Major League Baseball Clubs, and each of their respective shareholders, employees, parents, directors, officers, affiliates, representatives, agents, successors, and assigns. The following individuals are not eligible to participate: 1) Any current or former professional or semi-professional baseball or softball players or coaches that have played or coached at that level anywhere in the world; 2) Any current or former collegiate, junior collegiate or high school baseball or softball players or coaches that have played or coached at that level anywhere in the world within the past five (5) years, 3) Any current or former Olympic baseball or softball players or coaches that have played or coached at that level anywhere in the world within the past five (5) years, and, 4) Any current or former Class A softball players or coaches who have played or coached at that level anywhere in the world in the past five (5) years are not eligible to participate. Void in the states of Florida and New York and where prohibited. This promotion is subject to all applicable federal, state and local regulations and laws.

Two Ways to Participate: 1) Visit MLB.com between 12:01:00 AM Central Time ("CT") on 6/1/07 and 11:59:59 PM CT on 6/24/07 (the "Promotion Period") and click on the Sweepstakes banners, buttons and/or links to access, complete and submit all required elements of the online Official Entry Form to receive one (1) entry; OR 2) Hand print your name, address, city, state, zip, date of birth (month, day and year), phone and email address on a plain 3" x 5" piece of paper and mail it in a #10 envelope to be postmarked by no later than 6/24/07 and received by 6/29/07 to: Taco Bell's Hitting Challenge, P.O. Box 15246, Bridgeport, CT 06673-5246. All information submitted online by entrants is subject to the MLB.com Privacy Policy accessible at: www.mlb.com/privacy. Sponsor will only use email addresses provided via the mail-in entry method for prize notification purposes only; however, eligibility to participate in the Sweepstakes is not dependent upon entrant's provision of this information. Online entrants to the Sweepstakes will be given the option to receive commercial e-mails from MLB.com and/or Sponsor; however, eligibility to participate in the Sweepstakes is not dependent upon entrant's consent to receive such e-mails. There is a limit of one entry per person/household/email address for the duration of the Promotion Period regardless of the method of entry. Multiple entries from any one person, household or email address will void all but the initial entry. Released Parties are not responsible for lost, late, stolen, incomplete, damaged, garbled, delayed, undelivered, inaccurate, illegible, postage due or misdirected entries, mail, messages or transmissions, interrupted or unavailable network, server or other connections, miscommunications, failed computer hardware or software or telephone transmissions or technical failures, malfunction of phones, phone lines or telephone systems or other communication malfunctions, errors or malfunctions, garbled, misrouted, scrambled transmissions or other errors or problems of any kind whether mechanical, human, network or electronic or otherwise relating to or in connection with the sweepstakes, including, without limitation, errors which may occur in connection with the administration of the sweepstakes or the processing of entries; for inaccurate entry or other sweepstakes related information, printing, typographical or other errors appearing in the rules, or in other sweepstakes related materials. By participating, entrants agree to abide by these Official Rules and to the decisions of the Sponsor, which shall be final and binding in all matters relating to this sweepstakes. All mail-in entries become the property of Sponsor and will not be acknowledged. Use of any device to automate entry is prohibited and any entries received through such means will be void. Drawing: The potential sweepstakes winner (the "Sweepstakes Winner") will be selected in a random drawing conducted on or about 6/29/07 from among all eligible entries received. Potential Sweepstakes Winner will be notified at the telephone number provided by no later than 1:00 PM Eastern Time on 6/29/07 &, during the phone call, must: a) provide P/S/T with information confirming his/her eligibility; b) confirm his/her availability and desire to attend the 2007 MLB® All-Star Game® on 7/10/07 and participate in the promotion at the 2007 MLB® All-Star Game® for the Sweepstakes Prize as defined below (the "Event"); and, c) provide an e-mail address or fax number to receive an affidavit of eligibility, liability & publicity release (where legal). Upon verbal acceptance of these requirements, potential Sweepstakes Winner will be allowed 48 hours from time of initial notification to complete and return required documents by email or fax or entrant may be disqualified & Sponsor may endeavor to contact an alternate Sweepstakes Winner. If initial potential Sweepstakes Winner does not answer phone (or is otherwise unavailable during initial contact attempt), no message will be left and no further attempt to contact such individual will be made and that individual will be disqualified and an alternate potential Sweepstakes Winner chosen, provided Sponsor determines that sufficient time remains prior to 2007 MLB® All-Star Game® as Sponsor determines in its discretion. If potential Sweepstakes Winner is unable to travel on the dates required and to attend the Event as required, he/she will forfeit his/her eligibility for the Sweepstakes Prize and shall not be due any compensation in relation thereto. By participating, entrants (including Sweepstakes Winner) agree to these Official Rules & to the decisions of the Sponsor and judges, which will be final & binding in all respects. Odds of being selected as the Sweepstakes Winner depend upon the total number of eligible entries received. Sweepstakes Prize: Trip for two (2) to the 2007 MLB® All-Star Game® on 7/10/07 in San Francisco, CA consisting of round trip coach air transportation from major U.S. airport nearest Sweepstakes Winner's primary residence to San Francisco, (1) night standard double-occupancy hotel accommodations on 7/10/07, two (2) tickets to the 2007 MLB® All-Star Game® and the opportunity to participate in the Event in a manner specified by Sponsor and the MLB Entities and as further described below. Approximate Retail Value "ARV" of Sweepstakes Prize: $4,500. In the event that Sweepstakes Winner lives within a 100-mile radius of San Francisco, CA, Sweepstakes Winner will receive a driving allowance in the amount of $150 in lieu of air transportation and no additional compensation will be awarded. Seating assignment at the game is to be determined by Sponsor. Sweepstakes Winner must be available to travel on dates specified by Sponsor or prize will be forfeited and an alternate winner may be selected. Travel and accommodation restrictions and other restrictions may apply. Sweepstakes Winner and guest must travel together on the same itinerary & are responsible for obtaining all required travel documents. All travel arrangements must be made through travel agent of Sponsor's selection. Taxes and all other expenses not specified in these Official Rules are solely the responsibility of the Sweepstakes Winner. If Sweepstakes Winner fails to appear at the Event on the time and date designated by Sponsor, or fails to otherwise take part in the Event as outlined herein, Sweepstakes Winner forfeits the opportunity to participate in the Event and any right to win any prize available therein. Major League Baseball game exhibition and Event dates and times determined in the sole discretion of the Office of the Commissioner of Baseball and/or Major League Baseball Properties, Inc., as applicable, and are subject to change. The prize does not include tickets to any event or exhibition during the 2007 Major League Baseball All-Star Week other than as specifically set forth herein. The terms and conditions of the tickets awarded as prizes will govern in the event a legal game or exhibition, as defined by Major League Baseball, is not played due to weather, an act of God, an act of terrorism, civil disturbance or any other reason. Sponsor and the applicable MLB Entities reserve the right remove or to deny entry to winner and/or guest who engage(s) in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person at the game or exhibition. The Released Parties will not be responsible for Acts of God, acts of terrorism, civil disturbances, work stoppage or any other natural disaster outside their control that may cause the cancellation of Major League Baseball games or exhibitions. MLB® All-Star Game® Event Details: Sweepstakes Winner will be escorted to the field prior to the 2007 MLB® All-Star Game® and will attempt, in (30) seconds or less, to hit from the indicated start time, a maximum of three (3) Major League Baseball® regulation baseballs (the "MLB Baseball(s)") provided by the MLB Entities with a wooden bat (also provided by the MLB Entities) from a standard 4' high batting tee (no higher) located on the home plate at AT&T Park over one of the three (3) specified demarcation lines/ropes within the foul lines: 1) A demarcation line/rope placed 230 feet from home plate, 2) A demarcation line/rope placed 255 feet from home plate, or 3) A demarcation line/rope placed 280 feet from home plate. Each location will have a corresponding prize that the Sweepstakes Winner will receive in the event that the baseball successfully hits or travels over the line/rope: 230'=$100,000 awarded as a check in the amount of $100,000, 255'=$250,000 awarded as a twenty (20) year annuity (payable as $12,500 per year for twenty (20) years without interest from Underwriter's representative), and 280'=$1,000,000 awarded as a thirty (30) year annuity (payable as $33,333.33 per year for thirty (30) years without interest from Underwriter's representative). The MLB Baseball(s) must completely hit or travel over any one of the lines/ropes on the fly without coming in contact with the ground, any person, or any other object or surface (the "Successful Hit(s)") as determined by Underwriter's representative, in its sole discretion. The time clock kept by Underwriter's representative shall be the sole time clock to govern participation in this Event. Sweepstakes Winner will not be permitted any practice, warm up, or qualifying hits at any time, nor will Sweepstakes Winner be allowed to participate more than once during this Event. A maximum of three (3) attempts may be taken by the Sweepstakes Winner and once Sweepstakes Winner has made an attempt and had any contact with either the baseball or batting tee, that baseball may no longer be used by Sweepstakes Winner. Each such swing with contact shall be considered an attempted hit (the "Attempt(s)"). Sweepstakes Winner shall receive a maximum of three (3) Attempts during the Event but will receive only one (1) prize (the largest applicable prize) in the event of multiple Successful Hits. All details of Event will be determined by Underwriter's representative, whose decisions are final. Any disputes will be resolved by the independent judging organization on-site at the Event, whose decision shall be final, conclusive and binding. The judge's decisions shall be made strictly in accordance with the Official Rules and any other rules and procedures put in place for the Event. Any additional details regarding the Event mechanics and other rules, procedures and conditions for participation in the Event may be provided to Sweepstakes Winner immediately prior to the start of the Event. If Sweepstakes Winner is able to achieve one (1) Successful Hit pursuant to the terms set forth above & as determined by Underwriter's representative, Sweepstakes Winner will receive the corresponding prize as defined above. The prize is non-assignable, except upon Sweepstakes Winner's death to Sweepstakes Winner's lawful heirs (upon sufficient proof thereof). Total maximum potential retail prize value of Event Prize: $550,000 (present day value of a $1,000,000.00 thirty 30-year annuity). Total maximum potential retail prize value of entire prize: $554,500. Event will be videotaped for insurance and promotional and other purposes selected by Sponsor. Miscellaneous: Unless otherwise provided in these Official Rules, no transfer, assignment, cash redemption, or substitution of prize (or portion of prize) or opportunity to participate in Event except by Sponsor who reserves the right to substitute a prize (or applicable portion of prize) of comparable or greater value, at its sole discretion. Sweepstakes Winner must sign and return an affidavit of eligibility, liability & publicity release in accordance with the requirements set forth above (except where prohibited by law). Sweepstakes Winner's guest must be eighteen (18) years of age or older (except for residents of Alabama and Nebraska who must be 19 years of age or older) and will be required to execute and return a travel/liability release prior to issuance of travel documents. Non-compliance with any of the foregoing may result in disqualification and awarding of opportunity to participate in the Event to an alternate Sweepstakes Winner at Sponsor's sole discretion. Sweepstakes entrants agree, by entering, that 1.) Sponsor, the MLB Entities and their designees shall have the right & permission to use entrant's name &/or picture &/or likeness, biographical information or voice, as well as footage, recording &/or images of Sweepstakes entrants participating in the Sweepstakes or Event, for trade, advertising, promotional &/or any other purpose in any media now or hereafter known throughout the world in perpetuity without any further compensation, consideration, permission or notification except where prohibited by law; & 2.) Released Parties shall have no liability & will be held harmless by entrant for any claim, action, liability, loss, injury &/or damage to entrant &/or any other person &/or entity, including, without limitation, personal injury &/or death to entrant &/or any other person, &/or damage to personal &/or real property, due in whole or in part, directly or indirectly, by reason of the acceptance, possession, use &/or misuse of a prize (including any travel or activity related thereto) or participation in this Sweepstakes (including attendance at 2007 MLB® All-Star Game® and participation in the Event). BY AGREEING TO TAKE PART IN THE EVENT, SWEEPSTAKES WINNER ACCEPTS THE RISK ASSOCIATED WITH THIS PHYSICAL ACTIVITY, INCLUDING PERSONAL INJURY AND/OR DEATH, ACKNOWLEDGES THAT HIS/HER PARTICIPATION IN THE EVENT IS VOLUNTARY, ACKNOWLEDGES THAT THERE ARE NATURAL FACTORS AND OCCURRENCES WHICH MAY IMPACT ON OR AFFECT THE SAFETY OF THE ACTIVITIES HE/SHE IS PARTICIPATING IN AND HE/SHE ASSUMES THE RISK OF SUCH FACTORS AND OCCURRENCES AND AGREES THAT RELEASED PARTIES SHALL NOT BE IN ANY WAY RESPONSIBLE FOR ANY RESULTING INJURY AND/OR DEATH. Released Parties are not responsible for lost, incomplete, illegible, late, misdirected, stolen, or mutilated entries, account information, mail or email or postage-due mail; failures or malfunctions of phones, phone lines or telephone systems; lost entries or transmissions; any error, omission, interruption, defect or delay in transmission, transaction processing, or communication; interrupted or unavailable network, server or other connections; miscommunications, failed computer hardware or software or technical failures; garbled, misrouted or scrambled transmissions; printing, typographical or other errors appearing within these Official Rules, in any Sweepstakes-related advertisements or other materials; or other errors or problems of any kind whether mechanical, human, telephone, electronic, mail or otherwise relating to or in connection with the Sweepstakes, including, without limitation, errors or problems which may occur in connection with the administration of the Sweepstakes, the processing of entries or the announcement of the prize. Sponsor reserves the right, in its sole discretion to modify cancel, terminate or suspend this Sweepstakes should causes beyond the control of Sponsor impair the administration, security, fairness or proper play of the Sweepstakes and, in the event of cancellation, termination or suspension, at its discretion, select Sweepstakes Winner to participate in the Event from eligible, non-suspect entries received prior to the Event requiring such cancellation, termination or suspension.
