MLB.com Free Agent Frenzy Official Rules (the "Official Rules")

The object of MLB.com Free Agent Frenzy (the "Contest") is to select the correct Major League Baseball ("MLB") team that you think each of fifteen (15) selected free agents ("Free Agents") will sign with during the 2009-2010 MLB offseason. You'll do this by selecting one MLB team for each of the Free Agents. You will also select a confidence level for each pick, ranging from 15 (highest confidence) to 1 (lowest confidence) ("Confidence Level"). Points will be awarded based on your selected Confidence Level for every correct pick.
The Contest is open only to legal residents of the fifty (50) United States, Washington D.C. and Canada (excluding residents of the Province of Quebec) who are of legal age of majority in their jurisdictions of residence (and at least eighteen (18) years of age in the U.S.) as of the date of entry with a valid e-mail address and Internet access as of November 6, 2009. Void in the Province of Quebec and where prohibited by law, rule or regulation.
Employees or consultants of the MLB Entities (defined below) or any of their respective parents, affiliates, subsidiaries or advertising and promotion agencies, and their immediate family members (parent, sibling, child or spouse and their respective spouses, regardless of where they reside) and any person residing in their same households, whether or not related, are not eligible to participate or win a prize. The "MLB Entities" shall mean MLB Advanced Media, L.P. ("MLBAM"), the Office of the Commissioner of Baseball, its Bureaus, Committees, Subcommittees and Councils, Major League Baseball Enterprises, Inc., Major League Baseball Properties, Inc. , the Major League Baseball Clubs, Tickets.com, Inc., SportsOnEarth, LLC and each of their respective subsidiaries or affiliated entities, any entity which, now or in the future, controls, is controlled by, or is under common control with the Major League Baseball Clubs or the shareholders, parents, Office of the Commissioner of Baseball, and the directors, officers, representatives, employees, agents, successors and assigns of the above entities.
How to Register
You may register to participate in the Contest from 12:00 p.m. Eastern Time ("ET") on November 6, 2009 through 5:00 p.m. ET on November 23, 2009 (the "Registration Period"). To register to participate, during the Registration Period visit www.mlb.com/fantasy
. Registrations generated by script, macro or other automated means or utilizing any other method or means which in MLBAM's sole discretion impacts the integrity of the Contest or is in violation of these Official Rules will be void.
The Contest begins at 5:01 p.m. ET on November 23, 2009 and ends at 11:59 PM ET on March 1, 2010 (the "Contest Period").
How to Play
Predicting players' 2010 teams
MLBAM will select and display on the MLB.com website a list of fifteen (15) Free Agents. Participants must select from a drop-down menu the corresponding MLB team that the participant thinks each Free Agent will sign with for the 2010 MLB season.
Each participant must match an MLB team to all fifteen (15) Free Agents. If a participant fails to select a predicted 2010 team for any Free Agent, the participant will receive an error message indicating each remaining Free Agent(s) for which the participant still needs to select a team.
Selecting Confidence Levels
Participants must also select a Confidence Level for each choice of Free Agents' 2010 MLB teams. To do this, the participants must select an available Confidence Level from the drop down menu displayed next to each Free Agent name. A Confidence Level of 15 indicates the selection that the participant is most confident about. A Confidence Level of 1 indicates the selection that the participant is least confident about. Participants may only select one (1) Free Agent for each Confidence Level ranging from 15 to 1.
Each participant must select a Confidence Level for all fifteen (15) Free Agents. If a participant fails to submit a Confidence Level for any Free Agent, the participant will receive an error message indicating the Free Agent(s) for which the participant still needs to select a Confidence Level.
The deadline for selecting Free Agents' 2010 MLB teams and Confidence Levels is 5:00 p.m. ET on November 23, 2009. MLBAM's computer shall be the official clock of the Contest.
You may edit your selections at any time prior to November 23, 2009 at 5:00 p.m. ET.
The list of Free Agents will not change after the Registration Period begins.
Scoring in the Contest is simple. For each correct selection of Free Agent to 2010 MLB team, participant will receive the number of points equal to the selection's corresponding Confidence Level.
For example: If a participant chooses Hideki Matsui to sign with the Boston Red Sox with a Confidence Level of thirteen (13), and Matsui signs with the Boston Red Sox, participant will receive thirteen (13) points for that selection.
In the event that any Free Agent does not sign with any MLB team by March 2, 2010, all participants will receive zero (0) points for such Free Agent.
One (1) eligible participant, if any, who has accrued the highest number of points greater than or equal to thirty (30) points during the Contest Period (the "Winner") will win two (2) tickets to one (1) 2010 MLB Opening Day game of the MLB Club of their choice (the "Grand Prize"). (Estimated Retail Value of Grand Prize: $150). TRANSPORTATION TO/FROM THE GAME AND LODGING NOT INCLUDED.

NOTE: GRAND PRIZE WILL NOT BE AWARDED IF NO ELIGIBLE PARTICIPANT ACHIEVES A SCORE OF AT LEAST THIRTY (30) POINTS.
The Grand Prize is non-transferable and non-assignable, with no cash redemptions except in MLBAM's sole and absolute discretion. MLBAM reserves the right to substitute a prize (or portion thereof) with one of comparable or greater value at its sole and absolute discretion. All prize details, including seat locations, are at the sole and absolute discretion of MLBAM. The Winner is fully responsible for any and all applicable federal, state, provincial and local taxes (including income and withholding taxes). All costs and expenses related to the acceptance and use of the Grand Prize including, but not limited to, all transportation costs, lodging, meals gratuities and souvenirs, not specified herein as being provided are the sole responsibility of the Winner. MLB game dates and times are determined in the sole discretion of the Office of the Commissioner of Baseball and/or the applicable MLB Club and may be subject to change. Prize winner's companions must be of legal age of majority in his/her jurisdiction of residence, unless traveling with a parent or legal guardian. In the event that the 2010 MLB Opening Day game of the MLB Club selected by the Winner is scheduled to be played outside the Continental U.S. or Canada, Winner will receive two (2) tickets to the selected MLB Club's first 2010 MLB regular season game scheduled to be played at their home ballpark within the Continental U.S. or Canada. The terms and conditions of the tickets awarded as prizes will govern in the event a legal game, as defined by Major League Baseball, is not played due to weather, an act of God, an act of terrorism, civil disturbance or any other reason. Winner and his/her guest(s) agree to comply with all applicable stadium regulations in connection with the Grand Prize. The applicable MLB Entities reserve the right to remove or to deny entry to Winner and/or his/her guest(s) who engage(s) in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person at the game.
The MLB Entities and each of their respective parent companies, trustees, subsidiaries, franchisees, affiliates, licensees, agents, independent contractors and advertising and promotional agencies, and each of their respective officers, directors, agents and employees (collectively, the "Released Parties") will not be responsible for Acts of God, acts of terrorism, civil disturbances, work stoppage or any other natural disaster that may cause the cancellation or postponement of any MLB game, event or exhibition. Major League Baseball game, event and exhibition tickets awarded as prizes may not be resold or offered for resale. Any such resale may result in disqualification and forfeiture of prize, and may invalidate the license granted by the game ticket(s).
In the event of a tie for the Grand Prize, tiebreakers will be used among the tied participants in the following order:
1. Total number of actual correct Free Agent-2010 MLB team selections;
2. The highest correct Confidence Level selection, going backwards until a tie is broken. For example: if two participants tie with seventy-five (75) points, and one participant selected his/her "Confidence Level 15" Free Agent-2010 MLB team correctly while the other participant's highest correct Free Agent-2010 MLB team is "Confidence Level 14", the participant with the highest correct Confidence Level - in the current example "15" - wins; and
3. MLBAM will administer a timed baseball trivia quiz, testing the tied participants' knowledge of Major League Baseball, until the tie is broken.
The participant whose submission is closest to the correct answer will be deemed the winner of the applicable tiebreaker.
The potential winner will be notified by e-mail and/or telephone (in MLBAM's discretion) and may (in MLBAM's discretion) be confirmed by postal mail, return receipt (the "Prize Notification"). In the event that the potential winner does not respond to any such Prize Notification within five (5) days of date of issuance, a disqualification will result and prize will be forfeited and, at MLBAM's sole discretion, awarded to the runner-up (if applicable). Each winner may be required to submit his/her valid social security number and/or other identification to MLBAM and shall be required to execute, have notarized and return an Affidavit of Eligibility (or, if a resident of Canada, a declaration) and Release of Liability and, where legal, Publicity within five (5) days of date of issuance. Winner's companion (if a minor, his/her respective parent or legal guardian) may also be required to sign & return a Liability Release & (where legal) Publicity Release prior to the issuance of game tickets. Failure to submit any identification required by MLBAM or to return the required documents within the specified time period, noncompliance with these Official Rules or the return of any prize or Prize Notification as undeliverable may result in disqualification and prize will be forfeited and, at MLBAM's sole discretion, awarded to the runner-up (if applicable).
By registering and/or participating in the Contest, each participant agrees that MLBAM will solely resolve any disputes and rules violations that arise in connection with the Contest. All decisions by MLBAM regarding the Contest shall be final and binding in all respects. Any incidence of collusion or cheating, as determined by MLBAM in its sole discretion, will be subject to disqualification from the Contest without limitation to any other rights or remedies available to MLBAM. Each participant agrees to allow MLBAM and its designees to use their names and likenesses in any and all mediums now or hereafter known for advertising and publicity purposes throughout the world in perpetuity, without any compensation, notification or permission, unless prohibited by law.
All applicable federal, state, provincial and local laws and regulations apply. This Contest and these Official Rules will be governed by the laws of the State of New York. Any court of competent jurisdiction sitting within the State of New York, New York County will be the exclusive jurisdiction and venue for any dispute arising out of or relating to this Contest or these Official Rules. MLBAM's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.
Released Parties are not responsible for lost, late, stolen, garbled, delayed, undelivered or misdirected entries, selections or registrations, for incorrect, inaccurate or incomplete entry information whether caused by a participant, equipment, or technical malfunction or for any human error, technical error or malfunctions.
Released Parties are not responsible for any technical, computer, network, typographical, printing, human or other errors relating to or in connection with this Contest, including, without limitation, errors or problems which may occur in connection with the offer or administration of this Contest, the processing of entries, selections or registrations, the tabulation of scores, the cancellation of games or any errors appearing in any Contest related-materials, including, but not limited to, errors in advertising, the Official Rules, the selection and announcement of the Grand Prize Winner or the distribution of the prizes. MLBAM reserves the right to modify these Official Rules for clarification purposes without materially affecting the terms and conditions of the Contest.
The Released Parties make no warranties, express or implied, relative to the use or enjoyment of any prize or portions thereof, including without limitations, its quality, merchantability or fitness for a particular purpose. By entering the Contest, each participant agrees to indemnify, hold harmless and fully release the Released Parties from any and all claims, demands, losses, promises, causes of action and liabilities for any injuries, losses, death, or damages of any kind caused, directly or indirectly, in whole or in part, by participation in the Contest, or resulting from the acceptance, possession, quality, use or misuse of any prize, or any portion of any prize, including any travel or any activity related to the receipt or use of any prize.
MLB.com Free Agent Frenzy is a skill contest designed to increase consumer awareness of and interest in Major League Baseball and MLB.com, the Official Site of Major League Baseball. This Contest may not be used for, or in connection with, any form of gambling.

Specify "Rules" or "Winner List." Requests must be received by September 30, 2010. Residents of VT and Canada may omit return postage on rules requests.
If for any reason the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, cancellation of games or any other causes which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Contest, MLBAM reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Contest and, if terminated, to determine the winners, if any, from among all eligible, non-suspect scores achieved up to the point of termination.
The Released Parties assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. The Released Parties are not responsible for any problems or technical malfunction of any telephone network, cable, satellite, Internet Service Provider (ISP) or lines, computer systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received on account of technical problems or traffic congestion on the Internet or at any Web site, or any combination thereof, including any injury or damage to participant's or any other person's computer related to or resulting from participation or downloading any materials in this Contest.
CAUTION: ANY ATTEMPT BY A PARTICIPANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE CONTENT OR LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, MLBAM WILL DISQUALIFY ANY SUCH PARTICIPANT AND RESERVES THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS' FEES) AND OTHER REMEDIES FROM ANY SUCH PARTICIPANT TO THE FULLEST EXTENT PERMITTED BY LAW.
All entries must include a valid e-mail address for the participant. In the event of a dispute as to the identity of a participant, an entry will be declared made by the Authorized Account Holder of the e-mail address submitted at the time of entry provided he/she is eligible according to these Official Rules. "Authorized Account Holder" is defined as the natural person to whom the applicable Internet service provider or other organization (such as a business or educational institution.) has assigned the e-mail address for the domain associated with the submitted e-mail address.
In the event that the Contest is challenged by any legal or regulatory authority, MLBAM reserves the right to discontinue or modify the Contest, or to disqualify participants residing in the affected geographic areas. In such event, the Released Parties shall have no liability to any participants who are disqualified due to such an action.
