MLB.com Free Agent Frenzy Official Rules (the "Official Rules")

NO PURCHASE NECESSARY TO ENTER OR WIN

The object of MLB.com Free Agent Frenzy (the "Contest") is to select the correct Major League Baseball ("MLB") team that you think each of ten (10) selected free agents ("Free Agents") will sign with during the 2011-2012 MLB offseason. You'll do this by selecting one MLB team for each of the Free Agents. Points will be awarded based on each correct pick.

Eligibility

The Contest is open only to legal residents of the fifty (50) United States, Washington D.C. and Canada (excluding residents of the Province of Quebec) who are of legal age of majority in their jurisdictions of residence (and at least eighteen (18) years of age) as of the date of entry with a valid email address and Internet access as of October 30, 2011. Void in the Province of Quebec and where prohibited by law, rule or regulation.

Employees, officers and directors (including immediate family members (spouse, parent, child, sibling and their respective spouses, regardless of where they reside) and any person residing in their same households, whether or not related) of the MLB Entities (defined below) and each of their respective parents, affiliated companies, subsidiaries, licensees, distributors, dealers, retailers, printers, advertising and promotion agencies, and any and all other companies associated with the Contest, are not eligible to participate or win the Grand Prize (defined below). The "MLB Entities" shall mean MLB Advanced Media, L.P. ("MLBAM or MLB.com"), the Office of the Commissioner of Baseball, its Bureaus, Committees, Subcommittees and Councils, Major League Baseball Enterprises, Inc., Major League Baseball Properties, Inc., The MLB Network, LLC, the Major League Baseball Clubs, Tickets.com, Inc., SportsOnEarth, LLC and each of their respective subsidiaries or affiliated entities, any entity which, now or in the future, controls, is controlled by, or is under common control with the Major League Baseball Clubs or the Office of the Commissioner of Baseball, and the shareholders, parents, directors, officers, representatives, employees, agents, successors and assigns of the above entities.

How to Enter

You may enter the Contest during the period beginning at 9:01 a.m. Eastern Time ("ET") on October 31, 2011 and ending at 12:00 p.m. ET on November 15, 2011 (the "Entry Period"). To enter, during the Entry Period visit www.mlb.com/fantasy and click on the banners, buttons and/or links for the Contest to access the Contest entry page, then follow the directions provided. If you are not already a member of MLB.com, you must become one before you can enter the Contest (membership is free). Online entry only. No other method of entry will be accepted. Limit one (1) entry per person. In case of multiple entries received from any person, only the first entry received from such person will be considered. Entries must be received by 12:00 p.m. ET on November 15, 2011 to be eligible. All entries must include a valid email address for the participant. Please note that all information submitted by participants is subject to, and will be treated in a manner consistent with, MLB.com's Terms of Use accessible at www.mlb.com/mlb/official_info/about_mlb_com/privacy_policy.jsp and Privacy Policy accessible at www.mlb.com/privacy. Entries generated by script, macro or other automated means or utilizing any other method or means which in MLBAM's sole discretion impacts the integrity of the Contest or is in violation of these Official Rules will be void. Entrants to the Contest may be given the option to receive commercial emails from MLB.com and its affiliates; however, eligibility to participate in the Contest is not dependent upon entrant's consent to receive such emails.

Contest Period

The Contest begins at 12:01 p.m. ET on November 15, 2011 and ends at 11:59 PM ET on March 1, 2012 (the "Contest Period").

How to Play

Predicting players' 2012 teams

MLBAM will select and display on the MLB.com website a list of ten (10) Free Agents. Participants must drag and drop the corresponding MLB team that the participant thinks each Free Agent will sign with for the 2012 MLB season into the box associated with that free agent.

Selection Deadline

The deadline for selecting Free Agents' 2012 MLB teams and is 12:00 p.m. ET on November 15, 2011. MLBAM's computer shall be the official clock of the Contest.

You may edit your selections at any time prior to November 15, 2011 at 12:00 p.m. ET.

The list of Free Agents will not change after the Entry Period begins.

Scoring

Scoring in the Contest is simple. For each correct selection of Free Agent to 2012 MLB team, participant will receive one (1) point.

For example: If a participant chooses C.J. Wilson to sign with the Boston Red, and Wilson signs with the Boston Red Sox, participant will receive one (1) point.

In the event that any Free Agent does not sign with any MLB team by March 1, 2012, all participants will receive zero (0) points for such Free Agent.

Grand Prize

One (1) eligible participant, if any, who has accrued the highest number of points greater than or equal to six (6) points during the Contest Period (the "Winner") will win two (2) tickets to one (1) 2012 MLB Opening Day game of the MLB Club of his/her choice to be played in the Continental U.S. or Canada (the "Grand Prize"). (Approximate Retail Value of Grand Prize: $150). TRANSPORTATION TO/FROM THE GAME AND LODGING NOT INCLUDED. See additional details on Grand Prize below.

NOTE: GRAND PRIZE WILL NOT BE AWARDED IF NO ELIGIBLE PARTICIPANT ACHIEVES A SCORE OF AT LEAST SIX (6) POINTS.

The Grand Prize is non-transferable and non-assignable, with no cash redemptions except in MLBAM's sole and absolute discretion. MLBAM reserves the right to substitute the Grand Prize (or any portion thereof) with one of comparable or greater value at its sole and absolute discretion. All Grand Prize details, including seat locations at the game, are at the sole and absolute discretion of MLBAM. The Winner is fully responsible for any and all applicable federal, state, provincial and local taxes (including income and withholding taxes). All costs and expenses related to the acceptance and use of the Grand Prize including, but not limited to, all transportation costs, lodging, meals gratuities and souvenirs, not specified herein as being provided are the sole responsibility of the Winner. MLB game dates and times are determined in the sole discretion of the Office of the Commissioner of Baseball and/or the applicable MLB Club and may be subject to change. Grand Prize winner's companions must be of legal age of majority in his/her jurisdiction of residence (and at least eighteen (18) years of age), unless traveling with a parent or legal guardian. In the event that the 2012 MLB Opening Day game of the MLB Club selected by the Winner is scheduled to be played outside the Continental U.S. or Canada, the Winner will receive two (2) tickets to the selected MLB Club's first 2012 MLB regular season game scheduled to be played at their home ballpark within the Continental U.S. or Canada. The terms and conditions of the tickets awarded as prizes will govern in the event a legal game, as defined by Major League Baseball, is not played due to weather conditions, an act of God, an act of terrorism, civil disturbance or any other reason. Winner and his/her guest(s) agree to comply with all applicable ballpark regulations in connection with the Grand Prize. The applicable MLB Entities reserve the right to remove or to deny entry to Winner and/or his/her guest(s) who engage(s) in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person at the game.

The MLB Entities and each of their respective parent companies, trustees, subsidiaries, franchisees, affiliates, licensees, agents, independent contractors and advertising and promotional agencies, and each of their respective officers, directors, agents and employees (collectively, the "Released Parties") will not be responsible for weather conditions, Acts of God, acts of terrorism, civil disturbances, work stoppage or any other natural disaster that may cause the cancellation or postponement of any MLB game, event or exhibition. Major League Baseball game, event and exhibition tickets awarded as prizes may not be resold or offered for resale. Any such resale may result in disqualification and prize forfeiture, and may invalidate the license granted by the game ticket(s).

Tiebreakers

In the event of a tie for the Grand Prize, tiebreakers will be used among the tied participants in the following order:

  1. Who will be the last free agent to sign before March 1, 2012?
  2. How many total combined years will the ten (10) free agents sign for before March 1, 2012?
  3. MLBAM will administer a timed baseball trivia quiz, testing the tied participants' knowledge of Major League Baseball, until the tie is broken.

The participant whose submission is closest to the correct answer will be deemed the winner of the applicable tiebreaker.

Notification

The potential Winner will be notified by email and/or telephone (in MLBAM's discretion) and may (in MLBAM's discretion) be confirmed by postal mail, return receipt (the "Prize Notification"). In the event that the potential Winner does not respond to any such Prize Notification within five (5) days of the date of issuance, a disqualification and prize forfeiture will result and, at MLBAM's sole discretion and time permitting, the Grand Prize may be awarded to the runner-up winner (if applicable). The potential Winner may be required to submit his/her valid social security number and/or other identification to MLBAM and shall be required to execute, have notarized and return an Affidavit of Eligibility (or, if a resident of Canada, a declaration) and Release of Liability and, unless prohibited by law, Publicity within five (5) days of the date of issuance. Winner's companion (if a minor, his/her respective parent or legal guardian) may also be required to sign and return a Release of Liability and, unless prohibited by law, Publicity prior to the issuance of game tickets. Failure to submit any identification required by MLBAM or to return any required documents within the specified time period, noncompliance with these Official Rules or the return of the Grand Prize (or any portion thereof) or Prize Notification as undeliverable may result in disqualification and prize forfeiture and, at MLBAM's sole discretion and time permitting, the Grand Prize may be awarded to the runner-up winner (if applicable).

Contest Administration

By entering and/or participating in the Contest, each participant agrees that MLBAM will solely resolve any disputes and rules violations that arise in connection with the Contest. All decisions by MLBAM regarding the Contest shall be final and binding in all respects. Any incidence of collusion or cheating, as determined by MLBAM in its sole discretion, will be subject to disqualification from the Contest without limitation to any other rights or remedies available to MLBAM. General Conditions

By entering and/or participating, each participant accepts and agrees to be bound by these Official Rules, the MLB.com Privacy Policy and Terms of Use, and by the decision(s) of MLBAM which shall be final and binding in all respects.

Each participant agrees to allow MLBAM and its designees to use their names and likenesses in any and all media or format(s) now or hereafter known for advertising and publicity purposes throughout the world in perpetuity, without any compensation, notification or permission, unless prohibited by law.

All applicable federal, state, provincial and local laws and regulations apply. This Contest and these Official Rules will be governed by the laws of the State of New York. Any court of competent jurisdiction sitting within the State of New York, New York County will be the exclusive jurisdiction and venue for any dispute arising out of or relating to this Contest or these Official Rules. MLBAM's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

Released Parties are not responsible for lost, late, stolen, garbled, delayed, undelivered or misdirected entries or selections, for incorrect, inaccurate or incomplete entry information whether caused by a participant, equipment, or technical malfunction or for any human error, technical error or malfunctions.

Released Parties are not responsible for any technical, computer, network, typographical, printing, human or other errors relating to or in connection with this Contest, including, without limitation, errors or problems which may occur in connection with the offer or administration of this Contest, the processing of entries or selections, the tabulation of scores, the cancellation of games or any errors appearing in any Contest related-materials, including, but not limited to, errors in advertising, the Official Rules, the selection and announcement of the Winner or the distribution of the Grand Prize. MLBAM reserves the right to modify these Official Rules for clarification purposes without materially affecting the terms and conditions of the Contest.

The Released Parties make no warranties, express or implied, relative to the use or enjoyment of the Grand Prize (or any portion thereof), including without limitations, its quality, merchantability or fitness for a particular purpose. By entering the Contest, each participant agrees to indemnify, hold harmless and fully release the Released Parties from any and all claims, demands, losses, promises, causes of action and liabilities for any injuries, losses, death, or damages of any kind caused, directly or indirectly, in whole or in part, by participation in, or preparation for, the Contest, or resulting from the acceptance, possession, quality, use or misuse of the Grand Prize (or any portion thereof), including any travel or any activity related to the receipt or use of the Grand Prize.

MLB.com Free Agent Frenzy is a skill contest designed to increase consumer awareness of and interest in Major League Baseball and MLB.com, the Official Site of Major League Baseball. This Contest may not be used for, or in connection with, any form of gambling.

Winner Information

For Winner information (available after March 1, 2012), send a request and a self-addressed, stamped envelope to: MLB.com Free Agent Frenzy c/o Melissa Wester, MLB Advanced Media, L.P., 75 Ninth Avenue, New York, NY 10011. Requests must be received by September 30, 2012.

Internet

If for any reason the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, cancellation of games or any other causes which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Contest, MLBAM reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Contest and, if terminated, to determine the Winner, if any, from among all eligible, non-suspect scores achieved up to the point of termination.

The Released Parties assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. The Released Parties are not responsible for any problems or technical malfunction of any telephone network, cable, satellite, wireless, Internet Service Provider (ISP) or lines, computer systems, servers, or providers, computer equipment, software, malfunctions of wireless devices, wireless service problems, cellular tower equipment, failure of any email or entry to be received on account of technical problems or traffic congestion on the Internet or at any Web site or wireless service congestion, or any combination thereof, including any injury or damage to participant's or any other person's computer related to or resulting from participation or downloading any materials in this Contest.

CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE ASSOCIATED WITH THIS CONTEST OR UNDERMINE THE CONTENT OR LEGITIMATE OPERATION OF THIS CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, MLBAM WILL DISQUALIFY ANY SUCH PARTICIPANT, AND MLBAM AND/OR ITS RESPECTIVE AGENTS RESERVE THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS' FEES) AND OTHER REMEDIES FROM ANY PERSON OR PERSONS RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

In the event of a dispute as to the identity or eligibility of any participant, an entry will be declared made by the Authorized Account Holder of the email address submitted at the time of entry provided he/she is eligible according to these Official Rules. "Authorized Account Holder" is defined as the natural person to whom the applicable Internet service provider or other organization (such as a business or educational institution.) has assigned the email address for the domain associated with the submitted email address.

In the event that the Contest is challenged by any legal or regulatory authority, MLBAM reserves the right to discontinue or modify the Contest, or to disqualify participants residing in the affected geographic areas. In such event, the Released Parties shall have no liability to any participants who are disqualified due to such an action.
